1. Acceptance of Terms
By accessing and using the services provided by ThanksERP ("Company", "we", "us", or "our"), including our Odoo implementation, development, and consultation services, you agree to comply with and be bound by these Terms of Service. If you do not agree to these terms, you must not use our services.
2. Description of Services
ThanksERP provides offshore Odoo ERP implementation, module development, hosting, migration, and support services. The specific deliverables, timelines, and costs associated with your project will be detailed in a separate Statement of Work (SOW) or project agreement signed by both parties.
3. Client Responsibilities
To ensure the successful delivery of our services, clients are expected to:
- Provide timely access to necessary systems, data, and personnel.
- Review and approve deliverables within agreed-upon timeframes.
- Communicate any changes to project scope in writing before work begins.
- Ensure that any data provided to us complies with applicable data protection laws.
4. Intellectual Property
Unless otherwise specified in a formal agreement, all pre-existing intellectual property, methodologies, and frameworks used by ThanksERP remain our exclusive property. Custom code developed specifically for a client will be transferred to the client upon full payment of all related invoices.
5. Limitation of Liability
ThanksERP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of our services. Our total liability shall not exceed the amount paid by you for the specific services that gave rise to the claim.
6. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which ThanksERP operates, without regard to its conflict of law principles. Any disputes shall be resolved through good-faith negotiation or binding arbitration.
